IMPORTANT - PLEASE READ CAREFULLY: This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single legal entity, hereinafter the "Licensee" or "you") and Codecraft Innovations W.L.L ("Licensor", "we", or "us") for the use of the EVRST INVOICE software product.
By downloading, installing, copying, or otherwise using EVRST INVOICE, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
1. Definitions
- Software: The EVRST INVOICE desktop application, including the Electron shell, local database system, bundled local server, and all related components.
- License: The limited rights granted to you under this EULA to use the Software.
- Licensee (or "you"): The individual or business entity that has acquired the License to use the Software.
- Device: A single physical or virtual Windows computer on which the Software is installed.
- License Key: A unique alphanumeric code provided by the Licensor used to activate and validate your copy of the Software.
- Documentation: All manuals, user guides, tutorials, and online help provided by the Licensor regarding the Software.
- Updates: Any patches, bug fixes, modifications, or minor version releases of the Software provided by the Licensor.
2. Grant of License
Subject to your continuous compliance with this EULA and payment of applicable fees, the Licensor grants you a non-exclusive, non-transferable, revocable, and limited license to install and use the Software on the permitted number of Devices (typically one, unless otherwise specified by your License Key tier) solely for your internal business purposes.
3. License Activation, Device Binding & Validation
- Device Binding: The Software requires a valid License Key for activation. Upon activation, the License Key is securely bound to the specific hardware footprint (device fingerprint) of your Device.
- Validation & Grace Period: The Software periodically communicates with the Licensor's online licensing service to re-validate your License Key. If the Software cannot connect to the internet to validate the license, it will continue to operate for an offline grace period of 14 days. Upon expiration of the grace period without successful validation, access to the Software will be restricted as described in Section 4.
- Deactivation & Transfer: Your License is bound to one active Device at a time. To move the Software to a new Device, you must first deactivate it on the current Device. Each License permits a limited number of device activations; once that limit is reached, you must deactivate an existing Device before activating a new one. The Licensor reserves the right to apply reasonable activation limits to prevent abuse.
- Anti-Piracy: The Software contains technological measures designed to prevent unauthorized or illegal use. You agree not to interfere with, bypass, or circumvent these measures.
4. License Model & Term
- Term: Your right to use the Software is granted as a perpetual (lifetime) license for the major version of the Software you purchased. There is no recurring subscription fee.
- Validation requirement: Although the license is perpetual, the Software must still periodically validate the License Key online (with the offline grace period in Section 3) to confirm it is genuine and used on the licensed Device.
- Lockout: If validation fails beyond the allowed grace period (for example, the license is invalid, revoked, or used on an unauthorized Device), the Software transitions to a fully locked state: protected features are disabled and a license screen requires successful re-activation before you can continue using the Software. Your local data is not deleted by this lock.
5. Restrictions
You shall not, and shall not permit any third party to:
- Copy the Software, except for a reasonable number of backup copies for archival purposes.
- Modify, adapt, translate, or create derivative works based on the Software.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software.
- Circumvent, disable, or tamper with any licensing, security, or anti-piracy mechanisms within the Software.
- Rent, lease, lend, sell, sublicense, assign, or otherwise transfer the Software or your rights under this EULA to a third party.
- Use the Software beyond the scope of the licensed number of Devices or locations.
6. Ownership & Intellectual Property
The Software is licensed, not sold. Codecraft Innovations W.L.L retains all rights, titles, and interests in and to the Software, the Documentation, and all related intellectual property rights, including the "EVRST INVOICE" trademark. No rights are granted to you other than as expressly set forth in this EULA.
7. Updates & Versions
The Licensor may, at its sole discretion, provide Updates to the Software. Installing Updates may be required to maintain compatibility with our licensing servers or third-party integrations. The Licensor has no obligation to provide support or Updates for older versions of the Software once a new version has been released.
8. Customer Data & Backups
- Local Storage: EVRST INVOICE is an offline-first application. All business data (including invoices, customer/vendor details, inventory, and POS transactions) is stored exclusively in a local database on your Device.
- Your Responsibility: You own all rights to your data. You are solely responsible for routinely backing up your data. The Licensor has no access to your local data and is not responsible or liable for any data loss, corruption, or hardware failure.
- Backup & Restore features are "AS IS": The Software's built-in backup and restore features (including optional Google Drive backup) are provided on an AS-IS basis. The Licensor does not guarantee that any backup is complete, uncorrupted, retained, or successfully restorable. You remain solely responsible for verifying your backups and maintaining independent copies of your data.
- Privacy: For information on how we handle the minimal data collected for licensing and support, please review our separate Privacy Policy.
9. Third-Party Services
The Software includes optional features that interact with third-party services, such as Google Drive (for automated database backups using your own Google account) and an email relay for submitting support tickets. Use of these features requires an internet connection. These services are governed by their respective third-party terms of service and privacy policies. The Licensor is not responsible or liable for the availability, security, or performance of these third-party services.
10. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by applicable law, the Licensor expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
The Licensor does not warrant that the Software will be uninterrupted, error-free, completely secure, or that any defects will be corrected.
No Professional Advice: EVRST INVOICE is purely a software tool. The Licensor does not provide accounting, tax, legal, or financial advice. You are strictly responsible for ensuring that the invoices, taxes (including VAT/GST), documents, and reports generated by the Software comply with your local regulatory and legal requirements.
11. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall the Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data loss, business interruption, or loss of goodwill, arising out of or related to your use or inability to use the Software, regardless of the theory of liability.
In no event shall the Licensor's total aggregate liability to you for all damages exceed the total amount actually paid by you for the Software license.
Nothing in this EULA shall exclude or limit liability that cannot be excluded or limited under mandatory Bahraini law.
12. Indemnity
You agree to indemnify, defend, and hold harmless Codecraft Innovations W.L.L and its officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or connected with your misuse of the Software, your violation of this EULA, or your violation of any applicable law or third-party rights.
13. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must immediately cease all use of the Software, delete all copies of the Software from your Devices, and destroy all Documentation. Sections 6, 8, 10, 11, 12, 13, 14, and 15 shall survive any termination of this EULA.
14. General Provisions
- Export & Lawful Use: You agree to comply with all applicable export and import laws and regulations. You shall not use the Software for any unlawful purpose.
- Force Majeure: The Licensor shall not be liable for any failure or delay in performance due to causes beyond its reasonable control (e.g., natural disasters, internet outages, server failures).
- Assignment: You may not assign or transfer this EULA or your rights hereunder without the prior written consent of the Licensor. The Licensor may assign this EULA without restriction.
- Severability: If any provision of this EULA is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
- Entire Agreement: This EULA (along with the Privacy Policy and any applicable Terms of Service) constitutes the entire agreement between you and the Licensor regarding the Software.
- Amendments: The Licensor reserves the right to modify this EULA at any time. Updated EULAs will be published on our website (www.evrst.me) or delivered via Software Updates. Your continued use of the Software following such updates constitutes your acceptance of the revised terms.
- Notices: Any legal notices to the Licensor must be sent to the contact email provided in Section 16.
15. Governing Law & Dispute Resolution
This EULA shall be governed by and construed in accordance with the laws of the Kingdom of Bahrain, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to this EULA shall be subject to the exclusive jurisdiction of the competent courts of the Kingdom of Bahrain.
*Note: Depending on your jurisdiction of residence, mandatory local commercial or consumer protection laws may also apply and afford you additional rights.*
