Terms of Service

IMPORTANT - PLEASE READ CAREFULLY: These Terms of Service (the "Terms") constitute a legally binding agreement between you (the individual or legal entity utilizing the Software, hereinafter "Customer", "you", or "your") and Codecraft Innovations W.L.L ("Provider", "we", "us", or "our").

1. Acceptance of Terms

By downloading, installing, activating, or using the EVRST INVOICE application (the "Software") and any associated online services (the "Services"), you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, or lack the authority to accept them, do not use the Software or Services.

2. Definitions & Related Agreements

  • Software: The EVRST INVOICE desktop application, including all integrated modules (invoicing, POS, inventory, etc.), local databases, and bundled local servers.
  • EULA: The End User License Agreement. Your use of the Software is subject to the EULA, which governs the specific parameters of your software license, installation rights, and hardware binding. These Terms supplement, and are incorporated with, the EULA.
  • Privacy Policy: Our Privacy Policy outlines our data handling practices. By agreeing to these Terms, you also acknowledge our Privacy Policy.
  • Business Data: The financial, customer, vendor, inventory, and operational data you input into the Software.

3. Eligibility & Accounts

  • Authority: You must be of legal age in your jurisdiction to form a binding contract to use the Software.
  • Accounts & Users: The Software allows you to create an administrator account and additional sub-user accounts for your employees. You are strictly responsible for maintaining the confidentiality of all login credentials and for all activities that occur under your accounts.
  • Single Business Scope: Unless expressly permitted by your license tier, a single installation and license of the Software is intended for use by one business entity.

4. License & Access

Your right to access and use the Software is granted solely under the terms of the EULA. The Software requires a valid License Key to be activated online and periodically re-validated against our servers. If your license expires, becomes invalid, or fails to validate after the offline grace period, your access to the Software will be restricted as defined in the EULA.

5. Acceptable Use

You agree to use the Software only for lawful business purposes. You shall not:

  • Use the Software to facilitate illegal transactions, tax evasion, fraud, or any unlawful activity.
  • Tamper with, bypass, or attempt to circumvent the Software's licensing, security, or device-binding mechanisms.
  • Use the Software to infringe upon the intellectual property or privacy rights of any third party.
  • Interfere with or disrupt the Provider's online licensing or support servers.

6. Customer Responsibilities & Data Backups

  • Data Accuracy & Compliance: You are entirely responsible for the accuracy, legality, and integrity of the Business Data you enter into the Software. You are responsible for ensuring that all invoices, tax/VAT/GST calculations, and operational records generated by the Software comply with the laws, tax regulations, and e-invoicing mandates of your local jurisdiction.
  • BACKUPS ARE YOUR RESPONSIBILITY: EVRST INVOICE is an offline-first application. Your Business Data is stored locally on your computer's hard drive. We do not possess copies of your Business Data. You are solely responsible for maintaining routine, secure backups of your data. We strongly recommend utilizing the Software's automated backup features or your own system-level backup solutions. We are not liable for any loss of data resulting from hardware failure, malware, theft, or user error. The Software's backup and restore features are provided on an AS-IS basis; we do not guarantee that any backup is complete, uncorrupted, retained, or successfully restorable, and you remain solely responsible for verifying your backups.

7. No Professional Advice

The Software is a tool, not a substitute for professional advice. We are a software provider only. We do not provide accounting, tax, bookkeeping, financial, or legal advice.

The templates, tax rate fields, reporting outputs, and calculation methods provided by the Software are generalized tools. It is your sole responsibility to review all outputs (such as tax reports or VAT figures) and consult with a qualified accountant, tax advisor, or legal professional before submitting any filings or declarations to regulatory authorities.

8. Fees, Billing & Refunds

  • Fees: The Software is offered as a one-time purchase granting a perpetual (lifetime) license; there is no recurring subscription fee. Prices may be displayed and charged in your local or regional currency. All fees are exclusive of any taxes, duties, or levies that may apply, which (where applicable) are your responsibility.
  • Renewals: The Software is sold as a perpetual (lifetime) license and does not require renewal. Future major versions may be offered as a separate, optional paid upgrade.
  • Refunds: Refunds are governed by our separate Refund Policy, which forms part of these Terms.

9. Updates, Changes & Availability

  • Updates: We reserve the right to update, modify, or deprecate features of the Software and Services at any time to improve performance, enhance security, or comply with legal requirements.
  • Online Features: Certain features (such as license validation, optional cloud backups, and in-app support requests) require an active internet connection. We do not guarantee 100% uptime for our online licensing servers, nor can we guarantee the availability of third-party networks or services.

10. Third-Party Services

The Software may integrate with or offer optional links to third-party services:

  • Google Drive: You may choose to connect your own Google Drive account to store database backup files. Backup files are compressed but are not additionally encrypted by the Software; their confidentiality relies on the security of your Google account.
  • Email Relay: In-app support tickets are routed using a third-party email service provider.

Your use of these third-party services is governed by their respective terms of service and privacy policies. We do not endorse, control, or assume any responsibility for the performance, security, or availability of these third-party services, nor for the security of your own Google account.

11. Support Services

  • We offer technical support for the Software via email at: invoice-support@evrst.me.
  • Support is provided on a "best-effort" basis, Sunday to Thursday, 9 AM - 5 PM Arabia Standard Time (AST), in English and Arabic. We aim to respond within 2 business days, but response times are not guaranteed.
  • Support is strictly limited to technical issues, bug reporting, and license activation regarding the Software. We cannot provide support for accounting principles or tax laws.

12. Intellectual Property & Brand

Codecraft Innovations W.L.L exclusively owns all right, title, and interest in and to the Software, the Services, the EVRST INVOICE brand, logos, domain names, and all associated intellectual property. These Terms do not grant you any rights to use our trademarks, branding, or logos without our prior written consent.

13. Data & Privacy

Our handling of data is governed by our Privacy Policy. As an offline-first application, we do not monitor, harvest, or store your Business Data on our servers. We only process the minimal data necessary for license validation and support communication, as thoroughly detailed in the Privacy Policy.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR THAT THE OUTPUTS GENERATED BY THE SOFTWARE WILL MEET YOUR SPECIFIC REGULATORY OR COMPLIANCE REQUIREMENTS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODECRAFT INNOVATIONS W.L.L, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF REVENUE, BUSINESS INTERRUPTION, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE LICENSE.

Nothing in these Terms limits or excludes liability that cannot be legally limited or excluded under the mandatory laws of the Kingdom of Bahrain.

16. Indemnification

You agree to indemnify, defend, and hold harmless Codecraft Innovations W.L.L and its affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms or the EULA; (b) your violation of any applicable law, tax regulation, or rights of a third party; or (c) any claims arising from the Business Data you process using the Software.

17. Suspension & Termination

  • Termination by You: You may terminate these Terms at any time by ceasing all use of the Software and deleting it from your devices.
  • Termination by Us: We reserve the right to suspend or terminate your access to the Software immediately, without notice, if you breach any provision of these Terms, fail to pay applicable fees, or if your License Key is found to be invalid, pirated, or used in violation of the EULA.
  • Effect of Termination: Upon termination, all licenses granted to you will immediately cease. Sections 6, 7, 12, 14, 15, 16, 18, and 19 shall survive any termination or expiration of these Terms.

18. General Provisions

  • Force Majeure: We shall not be liable for any failure to perform our obligations due to events beyond our reasonable control (e.g., natural disasters, internet outages, government actions).
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Entire Agreement: These Terms, the EULA, and the Privacy Policy constitute the entire agreement between us regarding the Software.
  • Amendments: We may revise these Terms from time to time. If we make material changes, we will notify you (e.g., via a prompt within the Software or via email). Your continued use of the Software after the effective date of the revised Terms constitutes your acceptance of the changes.
  • Notices: Legal notices to us must be sent to connect@codecraftbase.com. Notices to you will be sent to the email address registered with your License Key.

19. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Bahrain, excluding its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the competent courts of the Kingdom of Bahrain.

Note: If you are a consumer or operate in a jurisdiction with mandatory local commercial laws that cannot be overridden by contract, those local laws may apply to you.
